1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a binding legal agreement between you (“you”, “your”, “User”) and Aplo CFO Inc., operating as Get Allan ("Get Allan", “we”, “our”, or “us”) regarding your use of our services, including our web-based software platform, API, mobile access points, and any other related services (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

This is a licence agreement only, and not a contract for services or a contract of employment. Nothing herein shall create a partnership, employment relationship or a principal-agent relationship between Get Allan and User.

2. Platform Access and License

Get Allan grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes in accordance with these Terms.

You agree not to:

Reverse-engineer, disassemble, decompile, or otherwise attempt to derive the source code or underlying structure of the Platform;
Use the Platform (including the Output (as defined below)) to build a competitive product or service;
Access the Platform for purposes of monitoring its performance or functionality, or for any benchmarking;
Attempt to bypass any security or access restrictions.

3. User Accounts

You are responsible for:

Maintaining the confidentiality of your account credentials;
All activities that occur under your account;
Providing accurate, current, and complete information at registration and keeping it updated.

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms.

4. Subscriptions and Payment

Access to certain features of the Platform may require a paid subscription. Fees are outlined at the time of purchase or in your service agreement.

By purchasing a subscription:

You agree to pay the specified fees and any applicable taxes;
You authorize us (or our third-party payment processor) to charge your payment method;
Fees are non-refundable unless otherwise stated.

We may modify our pricing at any time with reasonable notice.

5. Use of the API

If you access the Get Allan API:

You are responsible for securely storing your API key(s);
You may not share your API credentials with unauthorized third parties;

You may not upload or submit anyone else’s data or content other than that belonging to the User;
API access is governed by rate limits, security guidelines, and other technical restrictions outlined in our documentation;
We reserve the right to suspend or revoke your API access if misuse is detected.

6. Data Use and Ownership

You retain ownership of any data or content you upload or submit via the Platform (“Your Data”).

By using the Platform, you grant Get Allan a worldwide, non-exclusive, royalty-free license to use, host, store, and process Your Data:

To provide and maintain the services;
To improve and develop the Platform (e.g., training AI features, aggregating anonymized data insights);
In compliance with our Privacy Policy and applicable law.

We do not sell, share, or use Your Data for third-party marketing.

7. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

8. Intellectual Property

All rights, title, and interest in and to the Platform (excluding Your Data) are and will remain the exclusive property of Get Allan and its licensors. This includes all software, designs, trademarks, content, and related intellectual property. Get Allan reserves all rights not expressly granted herein. “Get Allan” and any other trademarks, trade names and/or service marks used on the Platform from time to time are the sole and exclusive property of Get Allan and Get Allan reserves all rights thereto.

9. Disclaimers

The Platform is provided “as is” and “as available.”

Ger Allan makes no representations or warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose or that the Platform will not infringe any third party patents, copyrights, trademarks or other rights of any third party.

We do not warrant that:

The Platform will be error-free or uninterrupted;
The forecasts, recommendations, or outputs derived from Your Data and provided by the Platform (including AI-generated insights) (“Output”) will be accurate, complete, or suitable for your purposes.

You assume all risks associated with your use of the Platform and any decisions made based on its outputs. Get Allan does not confirm or verify Your Data and you acknowledge and agree that the veracity and completeness of Your Data will affect the usefulness of the Output.

No oral or written information or advice given to you by a representative of Get Allan shall create a warranty or in any way alter this disclaimer. You assume all responsibility to achieve your intended results. The Output may not be relied upon by any third party for any purpose.

10. Ownership of Output

The Output, and all intellectual property therein, shall remain the sole and exclusive property of Get Allan at all times. So long as all subscription fees have been duly paid and you are in compliance with these Terms of Use, Get Allan shall grant to you a licence to use the Output for your proper business purposes. While you may modify the Output for your own internal business purposes, no modification shall be permitted in conjunction with any publication of the Output or distribution of the Output to external stakeholders or other third parties (including but not limited to investors, financial institutions, lenders, consultants, and professional advisors). In particular, all Get Allan trademarks, trade names, service marks and copyright notices, and all disclaimers, shall remain intact and unmodified on any Output which is published or distributed in accordance with these Terms of Use.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Get Allan and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of (or inability to use) the Platform.

Our total liability to you for all claims shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Get Allan, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with:

Your use of the Platform;
Your breach of these Terms;
Your Data or misuse of the API.

13. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use of the Platform after updates become effective constitutes acceptance of the new Terms.

14. Termination

You may stop using the Platform at any time.
We may suspend or terminate your access to the Platform with or without notice if:

You violate these Terms;
We are required to do so by law or third-party request.

Sections of these Terms that by their nature should survive termination (e.g., ownership, disclaimers, limitation of liability) will continue to apply.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
